The directors of Bothnia International Insurance Company Limited (Bothnia) and the directors of DubliMont Designated Activity Company (DubliMont) each propose to transfer the entire business of DubliMont to Bothnia. The proposed transfer will be ordered pursuant to the Assurance Companies Act 1909, the Insurance Act, 1989 and the European Union (Insurance and Reinsurance) Regulations 2015. The transferring business will include the policies, transferring contracts, assets and liabilities of DubliMont and is conditional upon an Order of the High Court of Ireland.
On 8 October 2018, this matter was entered into the Commercial List by the High Court of Ireland and the hearing of the Petition is scheduled for 12 December 2018, at the Four Courts, Dublin 7, at 11:00 am.
The Petition and the annexing Schedules (including the Scheme) and the Independent Actuary Report shall be available for inspection at the registered offices of DubliMont and Bothnia, as well as the offices of Matheson, as solicitors for the petitioners. Anyone wishing to be heard at the Hearing of the Petition is requested to notify Matheson in writing of their intention to do so no later than 5:00 pm, on 7 December 2018. If anyone wishes to oppose the Petition, they shall, at the same time, file and serve on Matheson an affidavit setting out the grounds for opposition of the Petition.
On 31 December 2018 the Irish High Court approved the transfer of the whole insurance portfolio of DubliMont DAC to Bothnia International Insurance Company Limited in accordance with the provisions of the Insurance Act 1989, the European Union (insurance and Reinsurance) Regulations 2015 and European Communities (Non-Life Insurance) Framework Regulations 1994.
